ICSB organises webinar on securities laws amendments, corporate governance

Institute of Chartered Secretaries of Bangladesh (ICSB) has organised CPD webinar on “Recent Amendments to the Securities Laws: Focus on Corporate Governance” on Wednesday (8 January).

Md Abul Kalam, director of the Bangladesh Securities and Exchange Commission (BSEC) presented a keynote paper on recent amendments to the securities laws in connection with Corporate Governance and other continuing compliances, said a press release.

M Nurul Alam FCS, acting president of ICSB delivered the welcome speech, while Mohammed Harun-Ar-Rashid FCS, council member and member of Professional Development Sub Committee (PDSC) of ICSB chaired the CPD webinar. 

Mohammad Shafiqul Islam Bhuiyan FCS, council member and Chairman of the Examination Committee of ICSB moderated the webinar.

Nurul Alam FCS, president of ICSB, delivered the welcome speech and thanked everyone for joining the webinar of ICSB and also thanked PDSC for organizing the programme.

He especially thanked keynote speaker Md Abul Kalam, director of BSEC for his kind presence and insightful keynote paper presentation. 

He said that today's webinar is very important for the company secretaries and CS Practitioners where they get updated information regarding latest rules and regulations of BSEC. 

In his speech Mohammed Harun-Ar-Rashid FCS thanked PDSC and its members for organising such a time-befitting webinar.

He also thanked distinguished Keynote Speaker Md Abul Kalam for his excellent deliberations.  He also mentioned that from now on ICSB will organise regular CPD both in person and online. 

 Md Abul Kalam, Director of Bangladesh Securities and Exchange Commission (BSEC) presented a keynote paper on "Recent Amendments to the Securities Laws: Focus on Corporate Governance".

In his presentation he discussed about the Amendments to the Corporate Governance Code, BSEC (Commodity Exchange) Rules, 2023, BSEC (Real Estate Investment Trust Fund) Rules, 2024.

He also covered topics such as the submission of annual reports, the redefinition of "Z category companies," the placement and adjustment of different category of companies, bonus shares and stock dividends, hybrid AGM, and the conduct of AGM, EGM, and Board of Directors (BoD) meetings using digital platforms.

Additionally, he addressed the matters regarding prohibition of insider trading and dissemination of price sensitive information (PSI).  

The programme was attended by a good number of Members of ICSB.
